This document discloses the Terms of Services (collectively “Terms”) and the privacy practices (collectively “Privacy Policy”) for information collected through this website (collectively “Site”) and products and services provided (collectively the “Services”).

If you are accepting these Terms and using the Services on behalf of a company, organization, government, or other legal entity, you represent and warrant that you are authorized to do so and have the authority to bind such entity to these Terms. “You” and “your’ as used in these Terms shall refer to such entity.

The Services and Site, YEN, yen.io are a property of Roflcopter Inc. “We”, “our”, “us” in these Terms refers to Roflcopter Inc.

Use of Site and Services
You may use the Services only in compliance with these Terms and all applicable laws, rules, and regulations.

We reserve the right, in our sole discretion, to accept or reject your registration to use our Site and Service. We also reserve the right to close any Account that violate the terms as outlined on the Site.

At our discretion, the Services may change. We may stop (permanently or temporarily) providing the Services or any features within the Services to you or to users generally. We retain the right to create limits. We may also suspend or terminate users and reclaim usernames without liability to you.

As a user, you agree not to post any content that is unlawful, fraudulent, discriminatory, threatening, abusive, libelous, defamatory, obscene or otherwise objectionable, or that contains sexual, ethnic, racial or other discriminating slurs, or that contains no relevant or constructive content. You agree not to post any content containing official identification information, such as social security number, passport number, insurance number, driver’s license number, or other similar identifier belonging to you or to another user.

We do not endorse and are not responsible for any content that you as a user share or upload to the Site.

You agree not to upload content that includes any third party intellectual property unless you have permission from the owner to use it in the manner you share it. You agree not to post or share any material that promotes illegal activity, could constitute a criminal offense, give rise to civil liability, or otherwise violate any applicable law or regulation.

You agree not to use the Site to distribute viruses or other harmful, disruptive, or destructive files. You agree not to disrupt or interfere with the security of, or otherwise abuse, the Site or any any servers or networks connected to the site. You agree not to systematically harvest data from the Site or programmatically register Accounts on the Site.

Updates to the Terms and Privacy Policy
Please note that the Terms and Privacy Policy is subject to change by YEN in its sole discretion at any time. When changes are made, an updated version will be available at the Site, and the “Last Updated” date will reflect the date on which changes were made. If you continue to access the Services or Site after the posting of such changes, you agree to be bound by the terms of the updated Terms and Privacy Policy.

Information Collection
Your Actions. We collect the content and information you provide when you use our Services or access our Site, including the frequency and duration of your activities. When you create an account to log into our network (“Account”), request information, fill out a profile, participate in a survey, upload content, contact other users, or otherwise actively send us data on our Site, we may collect such data including, but not limited to, your first and last name, password, e-mail address, telephone number (including mobile phone number), transaction history, interests, affiliated organizations, and any other data that you provided.

Actions of other users. We collect content and information about you that other users provide when they invited you to use the Services, including name and email address they sent a referral code to or input on a page on our Site.

Devices. We collect information from or about the computers, phones, or other devices where you access our Site or Services, depending on the permissions you have granted.

Log Files. Our server automatically recognizes the IP address of visitors. This information helps us evaluate how our visitors use and navigate our Site, including the number and frequency of visitors and subscribers to each Web page and the length of each visit. We do not share the log files with any external party. If you contact us in regards to the log files, we may keep a record of that correspondence.

Cookies. The Site may place cookies in files on your computer. The cookies themselves do not collect or reveal any personally identifying information about you. You always have the option of disabling cookies via your browser preferences.

Google Analytics. You can opt out of the collection of aggregated, anonymous demographic data by visiting the Ad Setting of your Google account or installing Google’s opt-out add-on available available at https://tools.google.com/dlpage/gaoptout/

Information Use
We will not sell or rent the information collected on this Site or through our Services to anyone. In general, we use the information you provide either to respond to requests you make or to aid us in serving you better through our Services in the following ways:
– Facilitate the creation and completion of your Account on our Site
– Identify you as a user on our Site
– Communicate via email to verify ownership of email address
– Send ongoing emails to facilitate your experience and use of the Site and Services
– Send an email update regarding the Services or Site, including release of additional features
– Use the information to respond to you regarding the reason you contacted us

Sharing Your Information
When you share and communicate using our Services, you choose what information will be shared with other users on the Site. Public information is any information you share in your Public Profile or content you share on the Site in a public forum. Public information is available to any user on our Services or Site.

Managing Your Information
You can manage the content and information you share on the Site. We store your information as long as it is necessary to provide products and services to you and other users. Information associated with your account will be kept until your account is deleted, unless we no longer need the data to provide products and services.

You can delete your Account at any time. When you delete your account, we remove from public view all information that you have shared. Information that others have shared about you is not part of your Account and will not be deleted when you delete your Account.

Secure Your Personal Information
We are committed to protecting the security of your personal information. We require you to enter a password to create and access your Account information. Please do not disclose your Account password to unauthorized individuals. No method of transmission over the internet or other method of electronic storage is 100% secure. We use our best reasonable efforts to protect your personal information.

Availability of the Services
We many change, suspend, or end the Services in our discretion. To the extent allowed under law, these changes may be effective upon notice provided to you.

Limitations of Liability
Under no circumstances (including, without limitation, negligence) shall we be liable for any direct, indirect, incidental, special or consequential damages, resulting from (1) the use or the inability to use the Site; (2) unauthorized access to or alteration of your transmissions or data; (3) loss of profits, use, data, or other intangibles; (4) any conduct of content of any third party on the Services, including without limitation, any defamatory, offensive, or illegal conduct of other users or third partiers, even if we have been advised of the possibility of such damages. The foregoing shall not apply to the extent prohibited by applicable law.

Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the state of California, without giving effect to its conflict of law provisions. You agree that you will bring any claim or cause of action arising out of your use of the Site in the federal or state courts located in San Francisco County, California, United States, and you consent to submit to the personal and exclusive jurisdiction of those courts.
This Yen Beta Testing EULA is a legal agreement (hereinafter “Agreement”) between ROFLCOPTER, INC., (“Yen”) and you, either an individual or a single entity, (hereinafter “User”). This Agreement covers all software, the associated media, any printed materials, data, files and information and any “online” or “mobile in app” or electronic documentation (“Software”) which it accompanies, and which has been provided to User without payment of any fees or costs. This Agreement takes precedence over any other agreement or terms embedded within the software.

Assent to Be Bound By tapping the “I accept the terms…” during registration, by executing a written copy of this Agreement, or by downloading, installing, copying or otherwise using this Software, User agrees to be bound by the terms of this Agreement. If User does not agree with any term or condition, do not download, open, install or use the Software. Contact Yen to arrange to be removed from the Beta Testing program at no charge to User. In addition, certain third party code may be provided with the Software and/or Service. The third-party license terms accompanying such code, and not the terms of this Agreement, will govern your use of such code.

DISCLAIMER THE BETA SOFTWARE LICENSED HEREUNDER MAY CONTAIN DEFECTS AND A PRIMARY PURPOSE OF THIS BETA TESTING LICENSE, FOR WHICH NO FEES HAVE BEEN CHARGED OR ARE DUE FROM User, IS TO OBTAIN FEEDBACK ON SOFTWARE PERFORMANCE AND THE IDENTIFICATION OF DEFECTS. User IS ADVISED TO SAFEGUARD IMPORTANT DATA, TO USE CAUTION AND NOT TO RELY IN ANY WAY ON THE CORRECT FUNCTIONING OR PERFORMANCE OF THE SOFTWARE AND/OR ACCOMPANYING MATERIALS.

Feedback from User It is expressly understood, acknowledged and agreed that User shall, regardless of whether or not formally requested to do, provide to Yen reasonable suggestions, comments and feedback regarding the Software, including but not limited to usability, bug reports and test results, with respect to Software testing (collectively, “Feedback”). Contingent upon all of the terms and conditions herein and especially upon User’s obligations to provide Feedback, User grants Yen, under all of User’s intellectual property and proprietary rights, the following worldwide, non-exclusive, perpetual, irrevocable, royalty free, fully paid up rights: (i) to make, use, copy, modify, sell, distribute, sub-license, and create derivative works of, the Feedback as part of any Yen product, technology, service, specification or other documentation (individually and collectively, “Yen Products”); (ii) to publicly perform or display, import, broadcast, transmit, distribute, license, offer to sell, and sell, rent, lease or lend copies of the Feedback (and derivative works thereof) as part of any Yen Product; (iii) solely with respect to User’s copyright and trade secret rights, to sublicense to third parties the foregoing rights, including the right to sublicense to further third parties; and (iv) to sublicense to third parties any claims of any patents owned or licensable by User that are necessarily infringed by a third party product, technology or service that uses, interfaces, interoperates or communicates with the feedback or portion thereof incorporated into a Yen Product, technology or service. Further, User warrants that User’s Feedback is not subject to any license terms that would purport to require Yen to comply with any additional obligations with respect to any Yen Products that incorporate any Feedback.

Grant of License Subject to the terms and conditions of this Agreement, Yen grants to User a non-exclusive, non-transferable license (without the right to sublicense) to use the Software solely for purposes of internal testing and evaluation.

Restrictions on Grant Except as otherwise specifically permitted in this Agreement, User may not:(a) Modify or create any derivative works of any Software or documentation, including translation or localization (code written to published APIs (application programming interfaces) for the Software shall not be deemed derivative works); (b) Copy the Software except as provided in this Agreement or elsewhere by Yen; (c) Separate Software, which is licensed as a single product, into its component parts. (d) Sublicense or permit simultaneous use of the Software by more than one user; (e) Reverse engineer, decompile, or disassemble or otherwise attempt to derive the source code for any Product the Software (except to the extent applicable laws specifically prohibit such restriction); (f) Redistribute, encumber, sell, rent, lease, sublicense, use the Software in a timesharing or service bureau arrangement, or otherwise transfer rights to any Software. You may NOT transfer the Software under any circumstances; (g) Remove or alter any trademark, logo, copyright or other proprietary notices, legends, symbols or labels in the Product(s); (h) Capture and publish any screen shots of the Software’s user interface, user workflow or any other graphical user interface assets online, to the the public or a third party without Yen prior written consent; (i) Publish any results of benchmark tests run on any Software to a third party without Yen prior written consent.

Beta-Software Product Support Yen is under no obligation to provide technical support under the terms of this license, and provides no assurance that any specific errors or discrepancies in the Software will be corrected.

Ownership and Copyright of Software Title to the Software and all copies thereof remain with Yen and/or or its suppliers. The Software is copyrighted and is protected by United States copyright laws and international treaty provisions. User will not remove copyright notices from the Software. User agrees to prevent any unauthorized copying of the Software. Except as expressly provided herein, Yen does not grant any express or implied right to User under Yen patents, copyrights, trademarks, or trade secret information.

Confidentiality This Software is Confidential Information. User will not disclose Software or any comments regarding Software to any third party without the prior written approval of Yen. User will maintain the confidentiality of Software with at least the same degree of care that you use to protect your own confidential and proprietary information, but not less than a reasonable degree of care under the circumstances. User will not be liable for the disclosure of any Confidential Information which is: (a) in the public domain other than by a breach of this Agreement on User’s part; or (b) rightfully received from a third party without any obligation of confidentiality; or (c) rightfully known to User without any limitation on use or disclosure prior to its receipt from Yen; or (d) independently developed by User’s employees; or(e) generally made available to third parties by Yen without restriction on disclosure.

Terms Of This Agreement User’s rights with respect to the Beta Software will terminate upon the earlier of (a) the initial commercial release by Yen of a generally available version of the Software or (b) six months after the last date Recipient receives the Software or any update thereto. Either party may terminate this Agreement at any time for any reason or no reason by providing the other party advance written notice thereof. Upon any expiration or termination of this Agreement, the rights and licenses granted to User under this Agreement shall immediately terminate, and User shall immediately cease using, and will return to Yen (or, at Yen’ request, destroy), the Software, Documentation, and all other tangible items in User’s possession or control that are proprietary to or contain Confidential Information.

Limitation on Liability Provision of any Software under this Agreement is experimental and shall not create any obligation for Yen to continue to develop, productize, support, repair, offer for sale or in any other way continue to provide or develop Software either to User or to any other party. THE SOFTWARE IS PROVIDED “AS IS” WITHOUT ANY EXPRESS OR IMPLIED WARRANTY OF ANY KIND INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR ANY PARTICULAR PURPOSE. IN NO EVENT SHALL Yen OR ITS SUPPLIERS BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, BUSINESS INTERRUPTION, LOSS OF INFORMATION) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF Yen HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Export Restrictions User acknowledges that Software is of U. S. origin. Recipient agrees to comply with all applicable international and national laws that apply to the Software, including the U. S. Export Administration Regulations, as well as send-user, end-use and destination restrictions issued by U. S. and other governments.

Entire Agreement This Agreement constitutes the complete and exclusive agreement between Yen and User with respect to the subject matter hereof, and supersedes all prior or contemporaneous oral or written communications, proposals, representations, understandings, or agreements not specifically incorporated herein. This Agreement may not be amended except in a writing duly signed by an authorized representative of Yen and User.
